Expand the Oak Crest Farms Board to 7 members

For the sake of fairness and good faith, and for the good of the community, we ask that the Board of Oak Crest Farms:

  • expand Board membership to 7 members
  • add to the Board the two people who received the next most votes in the recent election: the chairs of the Finance Committee and the Architectural Committee. 

In the recent election for 3 Board members, there was confusion in the community about the use of proxies.  The proxy form did not give people the opportunity to vote for the candidates of their choice, in accordance with the Bylaws.  There is nothing in the Bylaws that would allow the Board as an organization to decide for whom the proxy votes will be cast (see Bylaws excerpts below).  

We are told that the Board received 22 proxies.  The Board decided as a group to cast votes for 3 of the 7 candidates.  The outcome of the election was affected by the Board using proxies as a basis for casting votes. It should be noted that a Board incumbent participated in this process.

If those proxies had not been used by the Board to cast votes, it is likely that two of the three people elected would have been: the chair of the Finance Committee and the chair of the Architectural Committee.  

The Board is asked to do the right thing and expand its membership to include those two individuals.  It will assure the Board's credibility and restore public trust. 

Background:

The Oak Crest Farms Bylaws state that:

  • "The Oak Crest Farms Board shall consist of at least five (5) members, but no more than seven (7) members, in good standing, of the Association."
  • "Voting at all meetings of the Association shall be on the basis of one (1) Lot, one (1) vote."  
  • "Proxies — A vote may be cast in person or by proxy."
