
We the undersigned request a conference call on behalf of and for the benefit of Advanced Cell Technology, Inc. stockholders in anticipation of a Special Meeting of Stockholders to amend the Company's 2005 Stock Incentive Plan and consider the amendment to the Certificate of Incorporation of the Company to effect an increase in the authorized shares of common stock from 500,000,000 to 1,750,000,000. The meeting to be held on September 10, 2009 at 10:00 a.m., Pacific Daylight Time, at the Westin Monache Hotel, Mammoth, 50 Hillside Drive, Mammoth Lakes, California 93546. As the company's notice specifically stated "YOUR VOTE IS IMPORTANT". In anticipation of our vote the following stockholders and "interested parties" (prospective investors accredited or otherwise) respectfully request a conference call relating to the substantive merit of the increase in authorized shares addressed in Proposal One and Proposal Two of the recently published Proxy Statement. A brief Conference Call outlining the Company's short term and long term objectives is a reasonable request from stockholders pending the upcoming vote for additional authorized shares as outlined in Proposal One and Two of the Proxy Statement.
Questions for discussion may include:
RPE has been stated as the priority. What is the total cash outlay anticipated for phase 1 filing and completion?
The RPE IND has been repeatedly delayed, why is this and is there a firm time frame for filing?
What are the details of the referred to "IND filing requirements" related to the CHA JV?
Regarding the intellectual property rights referred to in the publication about the new cell differentiation technology, has this been resolved?
What is the plan for commercialization of the blood program (hemangioblasts) and what are the anticipated costs of achieving this?
Does Advanced Cell Technology, Inc. plan to file for federal funding?
What is the status of the Myoblast program and will it be restarted and when?
As Dr. Robert Lanza can affirm we all play a small role in the universe. It is the undersigned beliefs that this petition has similarities to Dr. Lanza's first assignment before being hired by Advanced Cell Technology, Inc. Dr. Lanza was asked to get all the Nobel Laureates in the country to sign a letter to support embryonic stem cell research, addressed to Harold Varmus, the head of the NIH. His efforts were a success that resulted in 70 letters signed by Nobel Laureates. The effort was published in Science, and a few months later, many college presidents also signed on. Although for a different purpose the undersigned has a passionate and vested interest in Advanced Cell Technology, Inc. The undersigned understands the shareholder management dynamic. We conclude when working together this creates a powerful force. There will be those that argue this attempt to obtain a conference call will be futile. Difficult challenges never stopped Advanced Cell Technology, Inc. Cheif Scientific Officer from finding his way to Harvard Medical School as a youth to speak with a Harvard doctor about a science experiment he was engaged in. Dr. Lanza quoted "I'm not giving up that easy". The undersigned has the same determination to hear from management by conference call before the proxy vote on September 10, 2009. We the undersigned would like to be part of a joint effort with management to bring sight to patients like the police officer who spoke with Dr. Lanza five years ago about his 16 year old son who would go blind in two years without the RPE therapy. As investors and "interested parties"(accredited or otherwise) we respectfully ask for our conference call request to be granted.
The signatures are representative of a good faith grassroots effort to reach out to management. This proactive measure serves the purpose of enlightening Advanced Cell Technology, Inc. management of the genuine interest in the company. Shareholders and "interested parties" are now on record as formally making a request for a conference call. We understand that management will use its discretion before granting this request. The undersigned however believe that the granting of this request will have a tremendous impact on shareholder confidence, and that it will simultaneously benefit both shareholders, "interested parties" and management.
